End User License Agreement

This EULA is an agreement between you and Folia for the Folia desktop software, including updates and documentation ("the Software"). By installing or using the Software you agree to it; if you do not agree, do not install or use it.
1. License grant
Subject to this EULA and, where applicable, a valid paid license, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software for your personal or internal business purposes. The license is tied to a valid license key; each key authorizes one computer (the first to activate binds it), and you may move it via the self-serve "Move computer" function. The Free tier grants the free features without a paid key; paid features require a valid Student, Professional, or Lifetime license.
2. Activation & periodic entitlement check
The Software activates using your license key and then works offline, re-checking entitlement online about every 30 days. During that check it transmits only a hashed machine identifier and the license id — never document data, file names, or file contents. If entitlement cannot be verified for an extended period, paid features may be limited until it can re-verify.
3. Local processing
The Software processes your documents entirely on your local computer, including on-device AI features. Your documents are never uploaded to us or any server, and we have no access to your files.
4. Restrictions & ownership
You may not copy, distribute, sublicense, rent, sell, or otherwise provide the Software to third parties except as permitted; reverse-engineer, decompile, or disassemble it except where that restriction is prohibited by law; modify or create derivative works; remove proprietary notices; or circumvent the license/activation/entitlement mechanisms.
The Software is licensed, not sold. Folia and its licensors retain all rights, title, and interest, including all intellectual-property rights. You keep full ownership of the documents and content you create or process.
5. Updates, warranty & liability
We may provide updates from time to time; this EULA applies to them unless accompanied by separate terms. The Software is provided "as is", without warranty of any kind, and you assume the entire risk as to its quality and performance. To the maximum extent permitted by law, Folia is not liable for indirect, incidental, special, consequential, or punitive damages, and total aggregate liability will not exceed what you paid for the applicable license. You are responsible for backing up your documents.
6. Termination & governing law
This EULA and your license terminate automatically if you breach it, and may terminate on a refund of your license (a refunded license is deactivated).
